Terms of Service — NectarPress & nectardigit.com

By purchasing a NectarPress license or accessing nectardigit.com, you agree to these Terms of Service ("Terms"). Read them; they govern your relationship with Nectar Digit.

1. The Service

Nectar Digit provides: 1. A commercial WordPress theme ("NectarPress") licensed under GPL-2.0-or-later for the theme code, plus a proprietary license for the commercial subscription key and premium features 2. A license server (license.nectardigit.com) that activates and verifies subscriptions 3. A customer account portal (nectardigit.com/account) 4. Documentation at docs.nectardigit.com/nectarpress 5. A demo site at demo.nectardigit.com

2. License Grant

Upon successful payment and activation:

  • You receive a non-exclusive, non-transferable license to use NectarPress on the number of domains permitted by your plan tier, for the duration of your subscription
  • The GPL-2.0-or-later license for the theme code permits modification and redistribution of the code; however, the license key and premium feature entitlements remain proprietary and are not transferable
  • You may not sublicense, resell, or share your license key with third parties not covered by your plan

3. Subscription & Payment

  • Subscriptions are annual (12 months from activation date)
  • Prices are in NPR unless stated otherwise; international prices are approximate conversions
  • VAT (13%) is applied to invoices for businesses with a Nepal PAN/VAT number who request a tax invoice
  • Payments processed via Khalti, Bank Deposit, or QR Payment (Nepal); payment methods may expand over time
  • You are responsible for any bank fees on international wire transfers

4. Renewals & Cancellation

  • Subscriptions do not auto-renew — we send renewal reminders 35 and 7 days before expiry; renewal is manual
  • After expiry, the theme enters graceful degradation (see EULA §6); your live news site is never broken
  • To cancel: no action needed — simply do not renew when your subscription expires
  • For refunds, see the Refund Policy

5. Acceptable Use

You agree not to: - Use NectarPress to publish content that is illegal under the laws of Nepal - Attempt to reverse-engineer or extract the license server API - Share license keys beyond your plan's domain limit - Remove or alter copyright notices in theme files - Use NectarPress for any purpose that violates Nectar Digit's Privacy Policy

6. Customer Data & Privacy

Nectar Digit only receives the minimum data necessary for license verification (see Privacy Policy Part B for the exact list). Your readers' data stays on your server.

7. Uptime & Support

  • License server uptime targets and support response times are defined in the SLA for Business and Enterprise customers
  • Starter and Professional customers receive best-effort support with no uptime guarantee
  • The theme is designed to operate independently of the license server; a license server outage does not break your live site

8. Intellectual Property

  • NectarPress theme code: GPL-2.0-or-later (you may modify and redistribute)
  • NectarPress brand, logo, marketing materials, documentation: © 2024–2026 Nectar Digit Pvt. Ltd., all rights reserved
  • Demo content in demo packs: CC0 (public domain) for text; media placeholders as specified in assets/demo-packs/credits.md

9. Warranties & Limitation of Liability

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. NECTAR DIGIT'S TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR CURRENT SUBSCRIPTION PERIOD.

This limitation does not apply to personal injury or fraud.

10. Disputes & Governing Law

These Terms are governed by the laws of Nepal. Disputes shall be resolved in the courts of Kathmandu, Nepal. For Enterprise customers with a signed contract, dispute resolution terms in that contract govern.

11. Changes to These Terms

We may update these Terms by posting the revised version at this URL with a new effective date. If we make material changes, we will email registered customers 30 days in advance. Continued use of NectarPress after the effective date constitutes acceptance.
